    CMA Raises Concerns Over Amex GBT and CWT Merger

    The UK Competition and Markets Authority (CMA) has launched an investigation into Amex GBT’s planned $570-million acquisition of CWT.

    The UK Competition and Markets Authority (CMA) has initiated an in-depth investigation into the planned $570-million acquisition of CWT by American Express Global Business Travel (Amex GBT). This follows Amex GBT’s refusal to propose remedies for the CMA’s initial competition concerns.

    Despite the regulatory hurdles, Paul Abbott, chief executive of Amex GBT, expressed confidence in the merger’s completion by the first quarter of 2025. Abbott’s optimism comes as the US Department of Justice also reviews the transaction.

    CMA findings indicate a realistic prospect of a substantial lessening of competition within the business travel agency market, with Amex GBT and CWT holding a significant combined market share. Concerns extend beyond competitors to include major airlines, hotel chains, and global multinational clients.

    Global Business Travel Group, the parent of Amex GBT, was formed through a merger facilitated by prominent investment firms and industry players, underscoring consolidation pressures within the corporate travel sector. Abbott highlighted the need for investment in technology as a driving force behind such mergers.

    The CMA’s report suggests that, apart from Amex GBT and CWT, few competitors are equipped to meet the complex global travel needs of large multinationals. This lack of credible alternatives amplifies the perceived competitive risks, despite newer technology-driven entrants attempting to penetrate the market.

    Amex GBT’s solid performance, as reported in their latest financial results, showcases growth and increasing customer retention. However, the merger’s impact on global multinational customers remains a focal point of concern, which forms the crux of the CMA’s scrutiny.

    The merger of Amex GBT and CWT represents a pivotal point in global corporate travel, with regulatory outcomes poised to shape the industry’s competitive landscape.
